Do I Have to Form My LLC in the State Where I Live?

One of the most common questions we get is: 'I live in California, can I just form a Wyoming LLC to avoid California fees?' The answer is yes, you can form it — but the savings often disappear once you understand foreign qualification rules.

If you live outside the US: form anywhere

If you do not live in the US and have no US physical presence (no office, no employees, no warehouse), you can form your LLC in any state with no foreign qualification needed. Wyoming, Delaware and New Mexico are all valid choices.

If you live in the US: it's more complicated

If you actively run a business from your home state — meeting clients there, working from a home office there, hiring employees there — your home state generally considers your LLC to be 'doing business' there, regardless of where it was formed.

That means you must register your out-of-state LLC as a 'foreign LLC' in your home state. This costs an extra $50-$800 in fees plus another Registered Agent in your state.

You also still owe your home state's income tax on income earned through the business, regardless of where the LLC is formed.

When forming out-of-state actually saves money

It saves money mainly for non-US residents and for true holding companies that don't actively operate anywhere.

It rarely saves money for a US resident who is actively running their business from home.

When forming out-of-state still makes sense for US residents

Privacy: Wyoming and New Mexico keep members off public records. Your home state may not.

Asset protection: Wyoming and Nevada have stronger charging order protection than most states.

Holding companies: A Wyoming LLC that owns other LLCs but doesn't transact directly is a common structure.

If I live in California, can I form my LLC in Wyoming to avoid the $800 minimum tax?+

Generally no. If you actively run the business from California, the Franchise Tax Board considers it doing business in California and the $800 minimum tax applies regardless of where the LLC was formed. You'd also need to foreign-qualify the Wyoming LLC in California.

Do I need a Registered Agent in my home state if I form in Wyoming?+

If you foreign-qualify in your home state because you're operating there, yes — you need a Registered Agent in both Wyoming and your home state.

What if my business is purely online and I work from home?+

Most US states still consider this 'doing business' in your home state. Talk to a CPA before assuming you can form out-of-state without consequences.
