Delaware LLC Business License: What You Actually Need

The three places a license can come from

State-level (Delaware Division of Revenue). Delaware requires a business license for anyone who conducts business within Delaware. If you have no operations, customers-on-the-ground, or premises in the state, this usually does not apply to you.

Local (city/county). Some Delaware municipalities require their own permits β€” relevant only if you have a physical location in that city, which most non-resident owners do not.

Federal. Only certain regulated industries (alcohol, firearms, transport, broadcasting, etc.) require a federal license, regardless of state.

What this means for most non-resident founders

If you run an online business, agency, SaaS, e-commerce store, or consulting company that is merely registered in Delaware but operates from abroad, you typically need no Delaware business license. Your obligations are the LLC itself, a registered agent, an EIN, and the $300 franchise tax each June 1. Forming in Delaware for its legal system is not the same as operating in Delaware.

When you likely DO need something

  • You physically operate or have a premises in Delaware β†’ state business license.
  • You are in a regulated profession (legal, medical, financial services, etc.).
  • You sell into a Delaware city with its own local permit rules.
