What a registered agent actually does

A registered agent is the official point of contact between your LLC and the state. The agent:

• Receives service of process (legal documents, lawsuits) on behalf of your LLC.
• Receives official mail from the Wyoming Secretary of State, including annual report reminders.
• Must keep a physical Wyoming address and be available during normal business hours.

Why non-residents must use a commercial agent

To be your own registered agent you would need a physical address in Wyoming and to be present during business hours. If you live outside the US, that is not practical, so you appoint a commercial registered agent located in the state. This is normal and expected; the large majority of non-resident LLCs use one.

What happens if you don't have one

If your registered agent lapses, the state can flag your LLC as non-compliant and ultimately administratively dissolve it. Reinstatement then costs an extra $102 plus any overdue filings. Keeping a registered agent is the cheapest insurance you can buy.
